Terms of Service

1. Acceptance of Terms
By accessing or using any service provided by Elasolutions ('Company', 'we', 'us', or 'our'), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms apply to all visitors, clients, and others who access or use our services.
2. Services
Elasolutions provides software engineering services including, but not limited to, Android application development, backend API development, cloud infrastructure design and management (VMCloud), DevOps automation, and security auditing. The scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement signed by both parties. These Terms of Service govern the general relationship between Elasolutions and its clients and do not supersede any specific terms agreed upon in a signed SOW.
3. Intellectual Property
Unless explicitly agreed otherwise in writing, all intellectual property rights in work produced by Elasolutions during an engagement — including source code, designs, documentation, and infrastructure configurations — vest in the client upon full payment of all outstanding invoices. Elasolutions retains the right to use general knowledge, skills, and experience gained during engagements for other client work, provided no proprietary or confidential client information is disclosed. Open-source components incorporated into deliverables remain subject to their respective licences.
4. Confidentiality
Elasolutions treats all client information shared during an engagement as confidential. We will not disclose client data, business processes, or technical specifications to third parties without explicit written consent, except where required by law. Clients similarly agree to keep non-public information about Elasolutions' processes, pricing, and internal tools confidential.
5. Payment Terms
Payment terms are defined in the relevant SOW or invoice. Invoices are due within 14 days of issuance unless otherwise agreed. Overdue amounts accrue interest at 1.5% per month. Elasolutions reserves the right to suspend services for accounts with outstanding overdue balances after reasonable notice.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Elasolutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of, or inability to use, our services — including but not limited to loss of data, loss of revenue, or business interruption. Our total aggregate liability for any claim arising from a specific engagement shall not exceed the total fees paid by the client for that engagement in the three months preceding the claim.
7. Warranties and Disclaimers
Elasolutions warrants that services will be performed with reasonable skill and care. We do not warrant that software delivered will be free of all bugs or that infrastructure will be 100% uninterrupted, though we commit to the uptime SLAs defined in individual service agreements. No other warranties, express or implied, are given.
8. Termination
Either party may terminate an engagement by providing written notice as specified in the relevant SOW. Upon termination, the client will pay for all work completed up to the date of termination. Elasolutions will deliver all completed work and supporting materials within 14 days of receiving final payment.
9. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts located in Villupuram, Tamil Nadu, India.
10. Changes to These Terms
We may update these terms from time to time. The current version will always be available on this page, with the effective date noted below. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
